Role Required
  • The Minister of Service Alberta and Red Tape Reduction is seeking applications from individuals interested in serving as a Board Member, Chair or Vice-Chair of the Alberta iGaming Corporation (AiGC).
Location
Locations of meetings will typically be in the Edmonton or surrounding area and may be virtual or in-person. Candidates should be able to travel throughout the province as required.
About the Agency
  • The AiGC is a new corporation established by the Ministry of Service Alberta and Red Tape Reduction under the iGaming Alberta Act (iAA). It operates at arm’s length from the Government of Alberta. It is governed by a professional Board (of up to 7 members) that is independent of the Government of Alberta and the AiGC management. A CEO leads the management of the AiGC, reporting to the Board.
  • The Alberta iGaming Corporation (AiGC) is a Government of Alberta corporate enterprise mandated to develop, undertake, organize, conduct and manage online lottery on behalf of the Government of Alberta in accordance with the iGaming Alberta Act, Criminal Code (Canada) and the Gaming, Liquor, and Cannabis Act.
  • The AiGC will establish a competitive, innovative, responsible and sustainable iGaming market in Alberta by conducting and managing Alberta’s iGaming market, promoting responsible gaming and consumer protection, and generating revenue for the province. Key roles and responsibilities include:
    • Reducing the size and scope of the illicit iGaming marketing, by offering Albertans a broader choice among private, regulated iGaming operators.
    • Executing and overseeing contractual obligations set out in operating agreements with private iGaming operators, on behalf of the Government of Alberta, to provide iGaming services to Albertans.
    • Managing internet gaming (iGaming) offerings in accordance with the iGaming Alberta Act, the Gaming, Liquor and Cannabis Act, the Gaming, Liquor and Cannabis Regulation, and the Criminal Code (Canada).
    • Developing and overseeing an anti-money laundering program in accordance with the Proceeds of Crime (Money Laundering) and Terrorist Financing Act (PCMLTFA).
    • Managing and reconciling iGaming revenues, on behalf of the province, and in accordance with provincial standards and legislative reporting.
    • Making gambling safer, through social responsibility efforts and consumer dispute resolution.
    • Creating a stable market with controlled growth, ensuring market integrity, and advancing public policy and economic objectives.
Role Description
  • Board Members are appointed by the Minister of Service Alberta and Red Tape Reduction. Board Members have term appointments of up to three years. No Board Member may serve for more than ten years.
  • Board Members
    • Responsible for the management and oversight of the AiGC’s business and affairs. Board members must act honestly and in good faith, leaving aside personal interests to advance the public interest and the mandate of the AiGC.
    • The Board sets the AiGC’s strategic direction, evaluates performance of the CEO, approves and monitors the AiGC’s business plan and financial results, and is ultimately accountable to the Minister.
  • Chair (in addition to Board Member responsibilities)
    • With direction from the Board, the Chair represents the Board and its interests, as well as the interests of the AiGC in dealing with the Minister, the Department, the CEO, stakeholders and the community. The Chair is responsible for providing leadership and effectively facilitating the work of the Board.
  • Vice-Chair (in addition to Board Member responsibilities)
    • The Board Vice-Chair is responsible for performing all duties of the Board Chair in the event the Board Chair is absent from a meeting of the Board or is unable to undertake duties for a temporary period of time.

  • Demonstrates an ability to understand complex business challenges and provide direction on tangible, workable strategies; programs and business cases; and setting the corporation strategic direction.
  • Political Acumen
    • Understands systems, motivations, and influences at work in government decision-making processes.
    • Considers multiple perspectives when developing responses and managing challenges.
    • Communication (written/verbal) is aligned and received as intended.
    • Understands the implications of decisions at the public policy level and political level.
  • Fosters meaningful dialogue with Indigenous communities. Demonstrates knowledge of Indigenous communities, including understanding of Indigenous attitudes and values, history, barriers, and challenges in both urban and rural settings.
  • Understands the implementation and/or management of electronic information systems.
  • Understands the digital landscape and current technology trends related to the information technology sector.
  • Accounting/Financial Acumen
    • Understands how financial information is used to guide business decisions.
    • Able to analyze and interpret financial statements and forecasts.
    • Able to identify and consider financial implications of board decisions.
    • Able to provide scrutiny of, and strategic guidance on, the corporation’s financial reporting processes and systems, especially in support of the financial audit process.
  • Legal
    • Demonstrates knowledge or expertise in legal principles, processes, and systems.
    • Effectively interprets and applies legislation.
    • Understands the legal dimensions of organizational issues.
    • Understands the body of law that regulates the operation and procedures of government agencies.
    • Demonstrates strong ethical principles and integrity.
  • Understanding of the iGaming sector
    • Demonstrates experience and understanding of the online gaming and traditional gaming industries.
    • Understands trends, challenges, and opportunities and unique aspects of the sector.
    • Understands iGaming business operations and transactions.
    • Demonstrates knowledge of social responsibility practices, particularly in the areas of health and responsible gambling.
  • Understands and is able to provide scrutiny to anti-money-laundering and suspicious transactions reporting processes of the corporation, under the federal Proceeds of Crime (Money Laundering) and Terrorist Financing Act.
  • Understands and acts within the scope of the powers defined in the Gaming, Liquor and Cannabis Act and the iGaming Alberta Act and accompanying regulations.

The Chair and Vice-Chair must demonstrate the skills, abilities and experiences as outlined above, additionally:

  • Demonstrates understanding of and experience in Board governance and related roles and responsibilities.
  • Demonstrates strong ability to manage decorum, ensuring respectful, orderly, and productive board discussions and decision-making.
  • Demonstrates understanding of human resources management, including recruitment, succession planning, talent development and retention, compensation, and pensions.
Remuneration and Time Commitment
  • Remuneration is provided for this position. The remuneration of Board members appointed to the public agency is set out in accordance with Schedule 1 Part A of the Committee Remuneration Order (O/C. 466/007).
    • A member of a committee, other than the chairman, shall be paid
      • (a) $164 for up to and including four hours in any day, or
      • (b) $290 for over four hours and up to and including eight hours in any day, or
      • (c) $427 for over eight hours in any day, spent on the business of the committee.
    • A chairman or person acting as the chairman of a committee shall be paid
      • (a) $219 for up to and including four hours in any day, or
      • (b) $383 for over four hours and up to and including eight hours in any day, or
      • (c) $601 for over eight hours in any day, spent on the business of the committee.
  • Travel expenses will be paid in accordance with the Government of Alberta’s Travel, Meal and Hospitality Expenses Policy.
  • Meetings of the Board will be held as required, but at least four times a year. Any sub-committees will meet as determined by the Board and outline frequency in their written mandate.
