Role Required

The President of Treasury Board and Minister of Finance is seeking applications from qualified individuals interested in serving as a member for the Board of Directors of ATB Financial.

ATB Financial is headquartered in Edmonton, Alberta. Board and Committee meetings are conducted in Edmonton and Calgary on a rotational basis as well as other meetings held in many locations across Alberta.

Role Description

As members of the Board, Directors assume the stewardship role of overseeing the management and business affairs of ATB Financial. Board of Directors’ Terms of Reference, the Board Charter and the Code of Conduct and Ethics further govern the Directors.

Board responsibilities include:

  • Overseeing ATB Financial's strategic planning process, including approving the strategic plan and monitoring the implementation and effectiveness of the strategic plan;
  • Establishing appropriate governance processes to assist in fulfilling ATB Financial’s mandate as set out in the ATB Financial Act and its related regulation and ATB’s Mandate and Roles Document; and
  • Overseeing ATB Financial's oversight functions.

Appointment Term

Per the ATB Financial Act, the Lieutenant Governor in Council appoints directors and the Board Chair to the ATB Financial Board. Directors, including the Board Chair, may be appointed for a fixed term of up to three years, with a potential for reappointments, subject to a maximum 10 consecutive years of service.

Board member appointments are made by Order in Council.

Skills and Experience Required

Ideal candidates will be current or former senior executives or business leaders with broad corporate experience, and with specific knowledge in business transformation, innovation/information technology, investment or retail banking, payments technology, wealth management, marketing, and/or agriculture/agri-tech.

In addition, Directors should be persons of integrity, respected by their peers, with a track record of achievement in an organization with similar size and complexity, political astuteness, exceptional judgment and communication skills, and financial literacy. Governance education (ICD or equivalent) and/or significant board experience, ideally with a financial institution, public company, or Crown corporation, as well as familiarity with Alberta's economy, politics, and business community, are preferred.

To be a successful Board Director, the selected candidates must understand and be committed to the ATB Financial Governance Model and be prepared to meet the time and meeting attendance commitments of this Board. Governance education (ICD or equivalent) and/or significant Board experience, ideally with a financial institution, public company or crown corporation, is preferred. Candidates must be familiar with Alberta's economy, politics, and business community.

Remuneration and Time Commitment

Remuneration

Board directors receive remuneration, which is set by Order in Council 69/2004, Schedule 1.


Retainers:

Annual Retainer (Director) - $15,000/year

Additional Retainer Committee Chair (Director) - $2,000/year


Meeting Attendance Fees:

Board of Directors - $700/meeting

Committees of the Board - $500/meeting


Time and Travel Commitment

These roles require a significant commitment of time to prepare for and attend all Board and Committee meetings, as well as attend other special meetings, annual strategic planning retreats, educational sessions and events held throughout the province.

  • ATB Financial is headquartered in Edmonton, Alberta. Board and Committee meetings are conducted in Edmonton and Calgary on a rotational basis as well as other meetings held in many locations across Alberta.
  • Every Director is expected to serve on two Board Committees. In addition to quarterly Board meetings (usually involving a two day commitment) and quarterly Committee meetings (usually requiring a ½ day commitment for each Committee), Directors must be able to commit considerable time in preparation for these meetings.
  • Meeting packages are provided in advance to allow Directors to be fully prepared. Board and Committee packages are generally several hundred pages in length and include complex information.
