The President of Treasury Board and Minister of Finance is seeking applications from individuals to serve as members on the Board of Directors of ATB Financial.
There are two Board Director vacant positions.
ATB Financial is an Alberta-based financial services provider engaged in retail and commercial banking, credit card services, wealth management and investment management services. Established in 1938, ATB Financial has been a provincial Crown corporation since 1997. ATB Financial’s 5,500 team members serve over 775,000 customers in 247 communities through more than 300 locations across Alberta.

ATB Financial’s Board provides leadership and strategic guidance to ATB Financial. As steward of the organization, has a responsibility to oversee the conduct of the business and affairs of ATB Financial in these areas:
- Culture of Integrity
- Compensation, Evaluation and Succession
- Strategic Planning
- Risk Management and Internal Controls
- Pension Governance
- Communications and Public Disclosure; and,
- Governance and Compliance
Board and Committee Structure:
ATB Financial’s Board currently has 12 directors, including the Board Chair. Supporting ATB Financial’s Board is an executive management team and staff.
ATB Financial’s Board has established four standing Board committees - audit, risk, governance and conduct review, and human resources.
Per the ATB Financial Act, the Lieutenant Governor in Council appoints directors and the Board Chair to the ATB Financial board. Directors, including the Board Chair, may be appointed for a fixed term of up to three years, with a potential for reappointments, subject to a maximum 10 consecutive years of service.

Reporting to the President of Treasury Board and Minister of Finance, ATB Financial’s Board assumes the stewardship role of overseeing the management and business affairs of ATB Financial. Board of Directors Terms of Reference, the Board Charter and the Code of Conduct and Ethics further govern the directors of ATB Financial.
Board responsibilities include:
- Establishing appropriate governance processes to assist in fulfilling ATB Financial's mandate;
- Overseeing ATB Financial's strategic planning process, including approving the strategic plan and monitoring the implementation and effectiveness of the strategic plan;
- Approving and overseeing compliance to the ATB Financial Code of Conduct and Ethics for associates, as well as the Board of Directors Code of Conduct and Ethics;
- Reviewing the position description of the Chief Executive Officer (CEO), including the performance expectations, corporate goals and objectives for the CEO, and monitoring progress against those expectations;
- Approving the succession planning processes for the Board, CEO and senior executives;
- Overseeing compliance with all relevant policies, procedures and standards by which ATB Financial operates, and ensuring it operates at all times in compliance with all applicable laws and regulations; and;
- Overseeing ATB Financial's oversight functions and approving and recommending to the Minister a Business Plan and Annual Report for each fiscal year.

We are looking for individuals of integrity, respected by their peers, with outstanding and proven accomplishments in their profession.
The ideal candidate is a senior executive or senior business leader, with critical thinking capabilities and a demonstrated ability in strategy formation and leadership, or risk management leadership, in addition to the following:
- A record of achievement as a senior executive of a complex organization;
- Broad business experience in the energy sector or other industries significant to Alberta’s economy;
- Political astuteness;
- Exceptional judgment and communication skills;
- Ability to contribute significantly at the Board of Director level;
- Financial literacy;
- Knowledge and expertise of Alberta’s economy, politics, and business community;
- Related expertise in banking, wealth management, pensions or other industries significant to Alberta’s economy is an asset; and
- Governance education (ICD or equivalent) and/or significant board experience, ideally with a financial institution, public company or Crown corporation is preferred.

Board directors receive remuneration, which is set by Order in Council 69/2004, Schedule 1.
Retainers
- Annual Retainer (Director) - $15,000/year
- Additional Retainer Committee Chair (Director) - $2,000/year
For meetings attended:
- Board of Directors - $700/meeting
- Committees of the Board - $500/meeting
In addition to remuneration set under Order in Council 69/2004, an additional $700 meeting fee is available for preparation and travel for Board meetings only, to a maximum of eight payments per year.
All reasonable expenses, including travel, meals and accommodation associated with attendance at meetings, are reimbursed per the ATB Directors Remuneration Policy and Expense Guideline.

ATB Financial is headquartered in Edmonton, Alberta. Board and Committee meetings
are conducted in Edmonton and Calgary on a rotational basis as well as other meetings held in
many locations across Alberta.
The Board will generally meet no less than five (5) times per year (typically two-day meetings). In addition, each director is expected to serve on two Board committees. Board committees meet on a quarterly basis (typically half-day meetings). Travel within the province will be required.
Serving as a Board Director will require a significant time commitment to prepare for and attend Board and Board committee meetings, in addition to attending special meetings and events held across the province. Meeting packages are provided in advance. Board and Committee meeting packages are generally several hundred pages in length and include complex information.
